These Terms & Conditions ("Terms") govern access to and use of this site and any account registered on it (the "Site"), operated by Global Synergy Health ("GSH," "we," or "us"). By registering an account, requesting approval, or placing an order, the account holder agrees to these Terms. If the account holder does not agree, they should not register or use the Site.
These Terms apply in addition to, not in place of, the Research Use Disclaimer and the Privacy Policy, both of which are incorporated into these Terms by reference. Where the Research Use Disclaimer addresses the intended use, eligibility, and handling of any compound, its terms control on that subject.
The Site is a password-protected, invite/approval-gated research portal through which GSH offers laboratory research compounds to a private list of approved research accounts. The Site is not a public consumer storefront: browsing the catalog does not disclose pricing, and placing an order requires an approved account. Nothing on the Site is directed at, or intended for use by, the general consuming public.
Registration requires review and approval by GSH; approval is not automatic and may be declined or revoked at GSH's discretion, including after an account has been previously approved. By registering, the account holder represents that they meet the eligibility representations set out in Section 5 of the Research Use Disclaimer, including that they are at least 21 years of age and are purchasing in a professional, laboratory, or institutional research capacity.
The account holder is responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account. GSH should be notified promptly at globalsynergyhealth.support@gmail.com of any suspected unauthorized use of an account. GSH is not responsible for any loss arising from an account holder's failure to safeguard their credentials.
Every compound offered through the Site is sold strictly for laboratory research use, on the terms set out in full in the Research Use Disclaimer. No compound is intended for human or animal use of any kind, and nothing on the Site should be understood otherwise. The account holder's representations in that document are a condition of every order placed through the Site.
Submitting an order through the Site is an offer to purchase, not an acceptance by GSH. An order is not accepted, and no contract of sale is formed, until GSH confirms it directly. GSH may decline, limit, or cancel any order, in whole or in part, at its discretion, including where the eligibility representations in Section 5 of the Research Use Disclaimer appear not to be met, where a compound is unavailable, or where an error in pricing or listing is identified after the order is placed.
Product descriptions, specifications, and Certificate of Analysis (COA) data are believed accurate as of the date posted but are not guaranteed, and GSH reserves the right to correct errors at any time, including after an order is placed.
Prices shown to an approved account are subject to change without notice and are not binding until an order is confirmed. GSH is not obligated to honor a price that was listed in error.
Payment is due on the terms communicated to the account holder at or after the time an order is placed. GSH will specify the accepted payment method(s) directly; the Site itself does not process or collect payment. An order is not guaranteed to be fulfilled until payment is received in full, unless otherwise agreed in writing.
GSH will arrange shipment of an order to the address provided by the account holder. Risk of loss and title to a compound pass to the account holder upon delivery to the carrier. Estimated delivery times, where given, are estimates only and not a guarantee. The account holder is responsible for providing an accurate shipping address and for any additional cost or delay caused by an inaccurate one.
An order may be cancelled before it ships by contacting GSH directly; GSH cannot guarantee cancellation of an order already in fulfillment. Given the nature of the compounds sold — laboratory materials with defined storage and handling requirements — an order is not eligible for return once shipped, except where the compound received is materially different from what was ordered or arrives damaged. A claim of that kind should be reported to globalsynergyhealth.support@gmail.com within a reasonable time after delivery, with supporting detail (order number, photos where applicable). GSH will review each claim on its own facts; a refund, replacement, or store credit is offered at GSH's discretion and is not guaranteed in every case.
Where GSH provides a Certificate of Analysis (COA) for a compound, it documents the identity and purity of a specific lot as measured by the named third-party laboratory using the stated method, on the terms set out in Section 7 of the Research Use Disclaimer. A COA is not a warranty and is not a certification of fitness for any particular research application.
The Site's design, text, graphics, product descriptions, and other content are owned by GSH or its licensors and are protected by applicable intellectual property law. No license is granted to reproduce, distribute, or create derivative works from any part of the Site except as necessary to place and review an order, without GSH's prior written permission.
The account holder agrees not to:
GSH may suspend or terminate an account for conduct described in this section.
Except as expressly stated in a compound's Certificate of Analysis, the Site and every compound sold through it are provided "as is" and "as available," without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. GSH does not warrant that the Site will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, GSH is not liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to the Site or any order, even if advised of the possibility of such damages. To the fullest extent permitted by law, GSH's total liability for any claim arising out of or relating to an order is limited to the amount actually paid for that order.
The account holder agrees to indemnify and hold GSH harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from their breach of these Terms, the Research Use Disclaimer, or their use of any compound ordered through the Site, on the terms already stated in Section 9 of the Research Use Disclaimer.
GSH may suspend or terminate an account, and refuse any past, current, or future order, at its discretion, with or without notice, including for a suspected violation of these Terms or the Research Use Disclaimer. Sections of these Terms that by their nature should survive termination — including Sections 13 through 15 and Sections 19 and 20 — remain in effect after an account is terminated.
These Terms are governed by the law of the state in which GSH maintains its principal place of business, without regard to that state's conflict-of-laws principles, except where applicable law requires otherwise.
GSH is not liable for any delay or failure to perform under these Terms, including fulfilling or shipping an order, caused by an event beyond its reasonable control, including natural disaster, act of government, change in law or regulatory status of a compound, carrier or supply-chain disruption, or labor dispute. Performance is suspended for the duration of that event.
GSH's failure to enforce any provision of these Terms is not a waiver of its right to enforce that or any other provision later. If any provision of these Terms is found unenforceable by a court or arbitrator of competent jurisdiction, that provision is limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full effect.
These Terms, together with the documents they incorporate by reference (the Research Use Disclaimer and the Privacy Policy), are the entire agreement between the account holder and GSH regarding use of the Site, and supersede any prior agreement or understanding on that subject, whether written or oral.
GSH may update these Terms at any time by posting a revised version on this page. A material change will be reflected in the "Last updated" date above. Continued use of an account after a change is posted constitutes acceptance of the revised Terms.
